When the countershaft is out, you will see that the c'shaft input gear is retained by snaprings fore and aft. There is an upgrade available in the form of a solid spacer which replaces the aft snap ring (p/n 14020811) This prevents the input gear from 'walking' and misaligning the gear train.The SM465 is the updated version of the SM420, which was used through 1967. A shorter drive train is good. SM420/465 shifts well enough. But an NV4500 is a modern transmission. In a wheeler, you don't need overdrive. In a street truck, you do. An SM420/465 does work great in a 40. It just does. The SM420 in my 40 is the best thing I ever did to it. In my 40, the short drive train wins out.Wear on this allows the gears to move on the shaft and it will pop out of 3rd gear. GM made an updated countershaft spacer to replace the snap rings and prevent this problem. It is a $10 part. Pull the top cover and see if it is installed. You may want to rebuild it and add the updated spacer if it has not been done yet.
